1. User Accounts and Verification
All users must register for an account and complete our verification process. You agree to provide accurate, current, and complete information during registration and to keep this information updated. You are responsible for safeguarding your password and for all activities that occur under your account.
2. Platform Role and Responsibilities
Avrica Food is a neutral facilitator. We are not a party to any transaction between buyers and sellers. We do not act as an agent for any user and do not guarantee any aspect of a transaction. Our role is limited to providing the platform and related services, such as our optional secure payment system.
3. User Conduct
You agree not to use the platform to:
- Violate any laws or our platform policies (Product Listing, IP, etc.).
- Post false, misleading, or defamatory content.
- Attempt to circumvent our messaging system to exchange off-platform contact information prematurely.
- Distribute viruses or any other technologies that may harm Avrica Food or its users.
- Engage in any fraudulent activities.
4. Fees and Services
Access to certain features of the platform may require a subscription or payment of fees. All applicable fees will be clearly disclosed. We reserve the right to change our fees with reasonable notice. Fees are non-refundable except as required by law.
5. Termination
We may, in our sole discretion, suspend or terminate your account and access to the platform without notice for any violation of these Terms or our other policies. You may terminate your account at any time by contacting customer support.
6. Limitation of Liability
To the fullest extent permitted by law, Avrica Food shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your access to or use of, or inability to access or use, the platform.
Avrica Storehouses – Supplier Participation Terms
Schedule 1 – Supplier Terms of Use
1. Purpose
These Terms govern the participation of suppliers within the Avrica Storehouses platform ("Platform").
Avrica Food ("Avrica") operates a digital visibility and coordination system for agricultural and food supply positioning.
Avrica coordinates but does not act as broker, counterparty, or financial intermediary.
2. Nature of Platform
The Platform provides:
- Inventory visibility
- Market interaction tools
- Coordination workflows
- Reporting and analytics
Avrica does not:
- Take title to goods
- Hold inventory (unless separately contracted)
- Negotiate commercial terms
- Process payments
- Act as agent or broker
All transactions remain directly between supplier and buyer.
3. Supplier Responsibilities
Supplier represents and warrants that:
- It has legal authority to sell goods listed
- All product documentation is accurate
- Goods comply with applicable UAE import laws
- Export licenses and certifications are valid
- Inventory status (Dubai-held or Origin-held) is truthful
Supplier bears full responsibility for:
- Product quality
- Regulatory compliance
- Customs clearance
- Contractual obligations to buyers
4. Inventory Classification
Suppliers must clearly indicate:
- "Dubai-Held" – physically stored within a UAE warehouse
- "Origin-Held" – stored outside the UAE
Avrica does not assume custody or liability for either classification.
5. Fees
Participation fees cover platform access and coordination services only.
Fees do not constitute commission on trade unless separately agreed in writing.
6. Limitation of Liability
Avrica shall not be liable for:
- Commercial disputes between supplier and buyer
- Payment defaults
- Shipment delays
- Regulatory rejections
- Warehouse handling actions
- Indirect or consequential losses
Maximum liability shall not exceed fees paid in the preceding 3 months.
7. Termination
Avrica may suspend supplier participation for:
- False information
- Regulatory breach
- Misrepresentation of inventory
Avrica Storehouses – Buyer Access Terms
Schedule 2 – Buyer Terms of Use
1. Platform Role
Avrica provides structured visibility into verified supply and facilitates communication.
Avrica coordinates but does not act as broker, counterparty, or financial intermediary.
Avrica does not:
- Guarantee availability
- Guarantee price
- Hold funds
- Act as purchasing agent
2. Buyer Responsibilities
Buyer acknowledges:
- All purchases are directly contracted with supplier
- Due diligence remains buyer's responsibility
- Payment arrangements are outside the Platform
3. Reservation Function
Reservation tools:
- Indicate structured intent only
- Do not create binding contract
- Do not guarantee allocation
4. Limitation of Liability
Avrica shall not be liable for:
- Non-performance by suppliers
- Product quality disputes
- Delays in shipment
- Regulatory clearance issues
Liability limited to fees paid in prior 3 months (if any).
